What is the difference between a mutual and a one-way NDA?
A one-way (unilateral) NDA covers only one party disclosing secrets to the other — common when hiring a contractor or pitching to an investor. A mutual NDA covers both sides sharing confidential information, common in partnership or M&A discussions.

Why does the checklist flag non-solicitation or non-compete clauses?
